Terms of Service

These Terms of Service ("Terms") govern your access to and use of PrimeBalance services. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

  • "Service" refers to the PrimeBalance platform, website, and related services
  • "User" refers to any individual or entity using the Service
  • "Account" refers to your registered account on the Service
  • "Content" refers to data, text, and materials uploaded to the Service
  • "Subscription" refers to your paid plan for accessing the Service

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. Service Description

PrimeBalance provides a cloud-based financial management platform including accounting, invoicing, treasury management, and reporting tools. Features vary by subscription plan.

4. Subscription and Payment

4.1 Fees

Subscription fees are charged in advance on a monthly or annual basis as selected. All fees are non-refundable except as expressly stated herein.

4.2 Price Changes

We may change subscription fees with 30 days' notice. Price changes take effect at the start of your next billing period.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are provided.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or attempt to breach security
  • Use the Service for illegal financial activities
  • Share account credentials with unauthorized parties
  • Reverse engineer or attempt to extract source code
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without authorization

6. Your Content

6.1 Ownership

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited license to process, store, and display it as necessary to provide the Service.

6.2 Responsibility

You are solely responsible for the accuracy and legality of your Content. We do not verify or endorse any Content uploaded by users.

7. Intellectual Property

The Service, including its software, design, and documentation, is owned by PrimeBalance and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

8. Data Protection

Our collection and use of personal information is governed by our Privacy Policy. For enterprise customers, we offer Data Processing Agreements (DPA) upon request.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. Enterprise plans include SLA commitments as specified in the applicable agreement.

9.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEBALANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PrimeBalance from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or other reasons with notice. Upon termination, you may export your data within 30 days.

13. Changes to Terms

We may modify these Terms with 30 days' notice. Continued use after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of Switzerland. Disputes shall be resolved in the courts of Zürich, Switzerland, unless otherwise agreed.
